Elsayed Khalil
Elsayed Khalil is a trilingual Corporate and Commercial Lawyer with professional legal experience since 2019, currently serving as a Legal Specialist at a leading technology company. He has developed broad expertise across corporate law, commercial transactions, mergers and acquisitions (M&A), construction and engineering, maritime and logistics, and technology-related agreements.
His core practice focuses on drafting, reviewing, and negotiating complex commercial and contractual arrangements, with particular experience in mergers and acquisitions, including share purchase agreements (SPAs), shareholder arrangements, due diligence processes, and transaction structuring. His experience also includes construction contracts (including FIDIC-based agreements), subcontracting and consultancy agreements, logistics and freight forwarding contracts, warehousing and depot service agreements, inland transportation agreements, Software as a Service (SaaS) agreements, maintenance and technical support agreements, confidentiality agreements (NDAs), memoranda of understanding (MOUs), employment contracts, and commercial agency agreements.
Elsayed is also experienced in corporate governance and regulatory matters, including company formation, drafting and reviewing board of directors’ minutes and shareholders’ resolutions, and preparing general assembly documentation. He regularly coordinates with governmental authorities, ensures corporate compliance with applicable laws and regulations, and manages key legal documentation and corporate records.
In addition, he has significant exposure to maritime and logistics legal matters, including reviewing shipping and transport documentation such as bills of lading, certificates of origin, invoices, packing lists, insurance policies, and survey reports. He has also contributed to dispute-related matters through legal research, preparation of memoranda, and assessment of contractual obligations and legal risks.
Academically, Elsayed holds a Master of Laws (LL.M.) from Alexandria University and is currently a Ph.D. candidate in Civil Law, with research focusing on the legal nature of penal clauses and the extent of judicial control over them. He has completed several international certifications, including the UNCITRAL International Commercial Arbitration Course, UNCITRAL Mediation Framework, the MLETR Foundations Course from the ICC Academy, a Diploma in International Convention and Maritime Law, Basics of UK Maritime Law, Introduction to Ships, Ports and Terminals, and Legal French training accredited by the French Embassy in Egypt.
Elsayed is a Student Member of the Chartered Institute of Arbitrators (CIArb), the world’s leading professional body for dispute resolution, where he is developing practical knowledge in arbitration, mediation, and alternative dispute resolution. He is also a member of the Young International Arbitration Group (YIAG), a global network under the London Court of International Arbitration (LCIA), engaging in international arbitration through professional events, training, and development initiatives.
As a trilingual legal professional, Elsayed brings strong analytical, negotiation, and communication skills, with a particular focus on alternative dispute resolution. He is especially interested in mediation as an effective and constructive mechanism for resolving commercial disputes and facilitating mutually beneficial outcomes.
